These Terms of Service govern your use of Transmit. By using our platform, you agree to these terms. Please read them carefully.

Acceptance of Terms

By accessing or using Transmit ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Eligibility Requirements

  • -You must be at least 18 years of age to use the Service
  • -If using on behalf of an organization, you must have legal authority to bind that organization to these Terms
  • -You represent that all information you provide is accurate and complete

Service Description

Transmit provides email and SMS delivery services through our platform:

Email Services

  • Transactional email delivery
  • Marketing email campaigns
  • Delivery analytics and tracking
  • Domain authentication (SPF, DKIM, DMARC)

SMS Services

  • Transactional SMS delivery
  • A2P 10DLC compliant messaging
  • Delivery status tracking
  • Two-way messaging support

API access is provided for programmatic sending. Our API is compatible with Resend and SendGrid specifications for ease of migration.

Account Registration

To use Transmit, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

One organization per account. If you need multiple organizations, please contact us for enterprise arrangements.

Credits & Payment

Transmit uses a credit-based system. You purchase credits which are consumed when sending messages.

Credit Validity

Credits are valid for 1 year from the date of purchase.

Unused credits expire 12 months after purchase. You can view your credit balance and expiration dates in your dashboard.

Refund Policy

Once credits begin to be consumed, no refunds will be issued.

All credit purchases are final once usage begins. We recommend starting with a smaller credit package to test the service before making larger purchases.

Discretionary Refunds for Account Closure

In the event Transmit.dev issues a refund for an account closure (at our sole discretion), the following applies:

  • -Promotional credits are not refundable and will be excluded from any refund calculation
  • -Discounted credits (e.g., credits purchased at $0.03/1000 vs. list price of $0.05/1000) will be refunded at the online published rate, not the discounted rate
  • -Refund amounts will be calculated using the online published rate at the time of your purchase OR as of the current date—whichever yields more to you, the customer
  • -Any such refund is at the sole discretion of Transmit.dev

Additional Terms

  • -Credit balances are visible in your dashboard at all times
  • -Pricing is subject to change with 30 days advance notice
  • -Credits are non-transferable between accounts
  • -Payments are processed securely by Stripe

Third-Party Provider Limitations

Transmit relies on third-party infrastructure providers including AWS SES, Telnyx, and others to deliver your messages.

Important Limitations

Transmit is not responsible or liable for credits, refunds, or reimbursements if third-party providers cease sending for your account, domain, phone number, or any other reason.

Providers may suspend or terminate sending capabilities at their discretion based on their own policies, compliance requirements, or abuse detection systems.

Our Commitment

  • We will work with providers to offer services so long as you meet the requirements, policies, and rules of third-party providers
  • We will assist with provider appeals when appropriate
  • We will provide guidance on maintaining good standing with providers

Provider decisions regarding account status, deliverability, and policy enforcement are final.

Acceptable Use Policy

You agree to use Transmit only for lawful purposes and in compliance with these Terms.

You MUST

  • Send messages only to recipients who have opted-in for communication
  • Maintain accurate sender identification
  • Honor unsubscribe requests promptly
  • Keep proper consent records
  • Comply with all applicable laws

You must NOT

  • Send spam or unsolicited messages
  • Engage in phishing or fraud
  • Distribute malware or harmful content
  • Send to purchased or scraped lists
  • Send unlawful or prohibited content

You must comply with all applicable laws and regulations, including but not limited to:

Violation Consequences

Sending unlawful messages or content may result in immediate account termination and forfeiture of all remaining credits without refund.

Compliance & Legal Obligations

By using Transmit, you agree to comply with all applicable laws, regulations, and industry standards.

Your Obligations

  • Maintain proper consent records for all recipients
  • Honor unsubscribe and opt-out requests within the legally required timeframe
  • Provide accurate sender identification in all messages
  • Include required disclosures and physical address where applicable
  • Respond to data subject requests in compliance with privacy laws

You are solely responsible for understanding and complying with the laws that apply to your specific use case, industry, and geographic regions where your recipients are located.

Indemnification

Hold Harmless Agreement

You agree to hold Transmit.dev, its parents, partners, subsidiaries, affiliates, officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses.

You Agree to Indemnify Transmit From

  • Your violation of these Terms of Service
  • Your violation of any laws, regulations, or third-party rights
  • Your content, messages, or messaging practices
  • Third-party claims related to your use of the Service
  • Any claims arising from recipients of your messages

This indemnification obligation will survive termination of your account and these Terms.

Limitation of Liability

"As-Is" Service

The Service is provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee

  • No guarantee of message deliverability
  • No guarantee of specific delivery times
  • No guarantee of inbox placement
  • No guarantee of uninterrupted service

Excluded Damages

  • Indirect or consequential damages
  • Lost profits or revenue
  • Lost data or business interruption
  • Punitive or exemplary damages

Maximum Liability

In no event shall Transmit's total liability exceed the fees you paid to Transmit in the 12 months prior to the claim.

Account Termination

Termination by Transmit

We may suspend or terminate your account for:

  • Violation of these Terms
  • Violation of our Acceptable Use Policy
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity

Termination by You

You may close your account at any time by:

  • Using the account closure feature in your dashboard
  • Contacting support@transmit.dev

Effects of Termination

  • -All remaining credits will be forfeited and are non-refundable
  • -Your data will be deleted according to our retention policy (see Privacy Policy)
  • -API access will be immediately revoked

Modifications to Terms

We may modify these Terms from time to time. When we make material changes:

We will provide at least 30 days advance notice before changes take effect
Notice will be sent via email to your registered account address
Updated Terms will be posted on this page with a new "Last updated" date

Continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

Governing Law

Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Transmit.dev is a service of WeWill3C, LLC, a Texas limited liability company.

Dispute Resolution

  • 1.You agree to first attempt to resolve any dispute informally by contacting us
  • 2.If informal resolution fails, disputes shall be resolved through binding arbitration
  • 3.You waive any right to participate in class action lawsuits
